Terms and Conditions
Terms governing institutional access to the Authero Service.

These Terms are designed for institutional (B2B) use. If an executed order form, pilot agreement, Data Processing Addendum (DPA), or master services agreement (MSA) applies, it will prevail to the extent of any inconsistency.
1. Acceptance
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an Institution, you represent you have authority to bind that Institution.
2. Definitions
- Institution / Customer: the school or organisation using the Service.
- Users: individuals authorised by an Institution (students, teachers, admins).
- Customer Content: any content/data submitted to or generated within the Service (student work, notes, evidence, metadata).
- Pilot/Trial: early-access deployment, potentially including beta features.
3. Institutional responsibilities
- Ensure a lawful basis to process student/staff data and provide required notices and consents.
- Supervise minors’ use of devices and the Service.
- Provision/deprovision accounts; ensure credentials are not shared.
- Maintain appropriate security controls on Institution-managed devices and networks.
- Apply school policy and due process when making integrity decisions.
4. Accounts and security
Users must keep credentials confidential and use only their own accounts. Institutions must promptly notify us of suspected unauthorised access.
5. Licence and permitted use
We grant the Institution a limited, non-exclusive, non-transferable licence to access and use the Service during the subscription/pilot term for educational purposes.
- Do not reverse engineer, decompile, or attempt to derive source code.
- Do not bypass authentication, authorisation, licensing, or security controls.
- Do not disrupt the Service, introduce malware, or probe for vulnerabilities.
- Do not scrape/bulk extract data except as expressly permitted by the Institution and applicable law.
6. Customer Content
Customer Content remains owned by the Institution and/or relevant Users. The Institution grants Authero a licence to host, process, transmit, and display Customer Content solely to provide, secure, and support the Service and to improve reliability and user experience in an operational manner.
Institutions are responsible for the legality of Customer Content and their instructions to Authero.
7. Integrity evidence and decision-making disclaimer
The Service provides workflow evidence and integrity signals (including activity signals, app-surface screenshots where enabled, and paste fingerprints). Authero does not make misconduct determinations and does not replace educator judgement, due process, or school policy. Institutions are responsible for how integrity decisions are made and communicated.
8. AI features
If enabled, AI features may rely on third-party AI services. AI outputs may be inaccurate or unsuitable; teachers or authorised staff must review outputs before use. Users must not use AI features in ways that breach law or school policy.
9. Availability; pilots
We do not guarantee uninterrupted availability. Maintenance, upgrades, and changes may occur. Pilots may include beta functionality that can change or be withdrawn.
10. Security; third-party attacks (liability protection)
Third-party attacks: To the maximum extent permitted by law, Authero is not liable for unauthorised access, disclosure, alteration, or loss of Customer Content caused by malicious third parties (including hacking, malware, DDoS, credential theft), vulnerabilities in third-party services, or events outside our reasonable control, except to the extent that liability cannot legally be excluded.
Institutions remain responsible for their own device, network, and identity security practices.
11. Fees (if applicable)
Fees, term, and payment terms are set out in the applicable order form, invoice, or pilot agreement. Unless required by law, fees are non-refundable.
12. Intellectual property
Authero owns all intellectual property in the Service, including software, trademarks, designs, and documentation. Feedback may be used by Authero without restriction.
13. Third-party services
The Service may link to or integrate with third-party services. Those services are governed by their own terms and privacy policies. Authero is not responsible for third-party services.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim warranties not expressly stated. Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law or other applicable laws.
15. Limitation of liability
To the maximum extent permitted by law: (a) Authero is not liable for indirect, incidental, special, or consequential losses (including loss of profits, revenue, goodwill, or data); and (b) Authero’s total aggregate liability arising out of or related to the Service is limited to the fees paid by the Institution to Authero for the Service in the 12 months before the event giving rise to liability (or AUD $100 if no fees were paid).
16. Indemnity
The Institution indemnifies Authero and its personnel against claims arising from: Institution or User misuse of the Service; breach of these Terms; Customer Content or Institution instructions; or the Institution’s disciplinary processes and integrity decision-making.
17. Suspension and termination
We may suspend or terminate access if there is a breach, security risk, or misuse. On termination, we will handle Customer Content in accordance with the Privacy Policy and any written agreement.
18. Governing law
These Terms are governed by the laws of Queensland, Australia. The parties submit to the courts of that jurisdiction.
19. Changes to these Terms
We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance.
